1. Acceptance of these Terms
By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service. If you use Meta Note for a company, production, or other organization, you represent that you have authority to bind that organization, and "you" includes both you and that organization.
2. Eligibility
You must be at least 13 years old and legally able to enter into these Terms. If the law where you live requires parental or guardian consent for someone under the age of majority to use the Service, you must have that consent.
3. Accounts and security
Some features require an account created through Apple or Google. You agree to provide accurate information, keep your device and sign-in credentials secure, and promptly notify us of suspected unauthorized access. You are responsible for activity through your account unless it results from our failure to use reasonable security measures.
4. The Service
Meta Note helps production teams capture, transcribe, organize, sync, share, and export timecoded production notes. Features may vary by device, operating system, region, subscription, and release. You are responsible for confirming timecode, transcription, export, and other output before relying on it in a production or editorial workflow.
The Service is not a guaranteed archival system. Maintain independent backups or exports of important production information.
5. User Content
You retain ownership of project names, production-day data, notes, marker text, transcriptions, files, and other content you submit to the Service ("User Content"). You grant Meta Note a worldwide, non-exclusive, royalty-free license to host, copy, process, transcribe, transmit, display, and export User Content only as needed to operate, secure, maintain, and support the Service and fulfill your requests.
You represent that you have all rights and permissions needed to submit User Content and make it available to collaborators. You are responsible for production confidentiality, releases, employment obligations, intellectual-property rights, personal information, and any other legal requirements that apply to your content.
6. Team workspaces and collaboration
Team workspaces are collaborative. Active workspace members can view shared projects and notes and may be able to add, edit, or delete them. Workspace owners and administrators can invite people, assign roles, and manage certain workspace settings. Only invite people who are authorized to access the production information in that workspace.
Your access to a workspace may be controlled by its owner or the organization responsible for it. Content added to a shared workspace may remain with the workspace after a member leaves, an account closes, or a subscription changes. Workspace members should coordinate ownership, approval, retention, and backup practices outside the Service when necessary.
7. Acceptable use
You may not use the Service to:
- break the law or violate another person's rights, privacy, or confidentiality;
- submit content you are not authorized to use or share;
- harass, threaten, defraud, impersonate, or harm another person;
- introduce malware or interfere with the security, availability, or integrity of the Service;
- probe, scrape, reverse engineer, or bypass technical restrictions except where applicable law expressly permits it; or
- use the Service to build or train a competing product through automated extraction of the Service or its non-public features.
8. Meta Note Pro subscriptions
- Meta Note Pro may be offered as a monthly or yearly auto-renewing subscription. Available features, duration, localized price, and any trial or introductory offer are shown before purchase in the app and by the App Store.
- Payment is charged to your Apple Account when you confirm the purchase. Your subscription renews automatically unless you cancel it through your Apple Account subscription settings. Apple processes billing, renewal, cancellation, and refund requests under its terms and policies.
- You can manage or cancel a subscription from Settings on your Apple device by selecting your name and then Subscriptions. Deleting Meta Note or closing your Meta Note account does not by itself cancel an App Store subscription.
- If a trial or introductory offer is available, eligibility and the date on which billing begins are shown by Apple before you subscribe.

9. License and intellectual property
The Service, including its software, design, branding, text, graphics, and other materials other than User Content, is owned by Meta Note or its licensors and protected by law. Subject to these Terms and Apple's Standard EULA where applicable, we grant you a limited, personal, revocable, non-exclusive, non-transferable right to use the Service for its intended purpose. No other rights are granted.
10. Apple and other third-party services
The Service relies on third-party platforms and services, including Apple, Google, Supabase, and others described in our Privacy Policy. Their terms and policies may apply to your use of their services. We do not control third-party services and are not responsible for changes, outages, or actions outside our reasonable control.
Apple is not responsible for providing maintenance or support for Meta Note except as required by applicable law or Apple's own terms. To the extent these Terms conflict with Apple's Standard EULA for an App Store app license, the Standard EULA controls for that license.
11. Changes, suspension, and termination
We may add, change, limit, suspend, or discontinue features to operate, secure, or develop the Service. Where practical, we will provide notice before a material discontinuation. We may suspend or terminate access if you materially violate these Terms, create a security or legal risk, fail to pay applicable charges, or misuse the Service.
You may stop using the Service at any time and may request account deletion by contacting us. Sections that by their nature should survive termination—including those concerning User Content licenses already necessary to complete requested processing, intellectual property, disclaimers, liability, and disputes—will survive.
12. Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available." We disclaim warranties that are not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that timecode, speech recognition, synchronization, or exports will always be accurate or complete. Nothing in these Terms limits non-waivable consumer rights.
13. Limitation of liability
To the maximum extent permitted by law, Meta Note and its affiliates, officers, employees, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, production time, business opportunities, goodwill, or data arising from or related to the Service. Our aggregate liability for all claims relating to the Service will not exceed the greater of the amount you paid for the Service during the 12 months before the event giving rise to the claim or US $50. These limits do not apply where prohibited by law.
14. Applicable law and disputes
Apple's Standard EULA governs the App Store license and specifies the law and forum that apply to that agreement. For other disputes, the law and courts with jurisdiction under applicable law will apply. Nothing in these Terms removes mandatory rights or remedies available to you under the law where you live.
Before filing a formal claim, please contact us and give us a reasonable opportunity to resolve the issue informally.
15. Changes to these Terms
We may update these Terms as the Service or applicable law changes. We will post the revised Terms here and update the date above. If a change is material, we may provide additional notice. Continued use after the effective date of revised Terms means you accept them, to the extent permitted by law.
